Practice Experience
Pam specializes in corporate and securities law, with an emphasis on representing privately held companies in transactional matters, including mergers and acquisitions, venture capital and private equity financings, formation and governance, and other general business matters.

Pam worked as a financial analyst and cash manager for several years before graduating from law school. She then served as Counsel for the House Finance Committee of the Virginia General Assembly from 1992 through 1996 before entering private practice. She is admitted to the Bar in Virginia and New Jersey. Prior to joining the firm, Pam was a partner with LeClair Ryan, a Professional Corporation.

Additional Information

Pam draws on her extensive education and practical business, legislative and legal experience in assisting clients in achieving their business objectives. Examples of transactions in which Pam has played a significant role include:
  • Representing a regional propane and industrial gas company with multiple asset acquisitions.
  • Representing a regional HVAC company with multiple acquisitions.
  • Representing both angel investors and companies in various bridge financings involving convertible debt secured by company assets, including intellectual property
  • Representing several Virginia companies in reorganizations involving Delaware entities in connection with venture capital based transactions
  • Representing buyer in purchase of all of the assets of a division of a manufacturing company in Chapter 11
  • Representing technology-based company in connection with the sale of its assets, including structured payments to creditors
  • Representing existing and start-up companies in successful private offerings of their respective securities, including convertible preferred stock, common stock, convertible debt and limited liability company interests, and related securities issues
  • Representing group involved in spin-off from national law firm in connection with entity formation and asset purchase
  • Representing independent filmmakers in connection with entity formation issues for production, multi-million private offering and related securities issues
  • Representing various businesses in organization and reorganization considerations, including choice of entity, financial structure, management, buy-sell and dispute resolution issues.
