Practice Experience

Tom counsels private companies representing a broad cross section of the economy. He represents companies and entrepreneurs in all stages of business development, from formation and financing to sale or merger. Well versed in all aspects of business law, Tom brings a rare perspective to his practice from his experience as a high technology entrepreneur. In 1994 Tom co-founded Integrity Communications, Inc. and served as its General Counsel and Chief Operating Officer, and in those roles was instrumental in raising over $10 Million in venture and angel financing prior to merging the company into Spike Broadband Systems in 2000. Prior to the formation of Integrity he practiced with McCausland Keen & Buckman in Philadelphia, Pennsylvania, (1983-1990), and LeClair Ryan, PC, in Richmond, Virginia, (1990-1994). Following his role at Integrity Communications, he joined McCandlish Holton, PC, in Richmond, Virginia, and then opened the Richmond office of Lenhart Obenshain PC, a firm based in Harrisonburg, Virginia.

Among Tom’s many representations, he has:
  • Represented an industrial company in formulating and executing a merger and acquisition strategy that took the company from $3M in sales to its current annual sales of more than $2 Billion. The company has been listed on the New York Stock Exchange since 1986.
  • Represented numerous venture capital and private equity funds in formation and in portfolio their investment transactions.
  • Initiated and spearheaded the merger of Integrity Communications with Spike Technologies of Nashua, New Hampshire to form Spike Broadband Systems. Products developed by Integrity and Spike achieved recognition and substantial sales throughout the world, pursuing a strategy that was developed by Mr. Bowden and members of his team.
  • Represented emerging growth companies and founders in various financings involving equity and subordinated convertible debt structures.
  • Counseled clients on strategies and techniques for establishment and protection of intellectual property.
  • Represented entrepreneurs in a highly successful re-launch of a large restaurant and brew-pub business.
